1. Acceptance of Terms

These Terms of Service ("Terms") establish a legally binding agreement between you ("User," "Organizer," or "Attendee") and HaiCLOP Labs ("we," "us," or "our") governing access to and use of Freo Events("Platform"). By creating an account or registering for an event, you agree to comply with these Terms.

2. Platform Architecture and Scope

Freo Events provides software infrastructure for registration processing, form administration, and digital ticket verification. HaiCLOP Labs does not organize, sponsor, manage, or host the events published on the Platform. Organizers retain complete operational and legal responsibility for their events, including venue selection, scheduling, program content, safety measures, and compliance with local permits.

3. Payments and Financial Disclaimers

Freo Events facilitates payment coordination via direct Unified Payments Interface (UPI) transfers and dedicated Razorpay Payment Links configured by event organizers.

• No Escrow or Settlement: HaiCLOP Labs does not process, hold, settle, or take custody of ticket funds. Financial transactions occur directly between the attendee and the organizer (or the organizer's registered merchant account with Razorpay).
• Refunds and Disputes: All inquiries regarding refunds, event cancellations, line-up changes, or chargebacks must be directed exclusively to the respective event organizer.

4. Acceptable Use Policy

Users agree to employ Freo Events in good faith and in compliance with law. Prohibited conduct includes:

• Submitting fraudulent, altered, or duplicate UTR transaction numbers or payment receipts.
• Publishing events that promote illegal activities, deceptive commercial practices, or unauthorized gambling.
• Attempting to compromise platform security, reverse-engineer source code, or bypass API rate limits.

We reserve the right to suspend or terminate accounts violating this section without prior notification.

5. Intellectual Property Rights

The Freo Events platform, including its software architecture, user interfaces, branding, graphics, and underlying code, is the proprietary property of HaiCLOP Labs. Organizers retain full ownership of event materials, logos, and custom registration content uploaded to the Platform.

6. Third-Party Services and Limitation of Liability

Freo Events integrates with third-party software, including Google Workspace (Google Drive and Google Sheets) and third-party payment gateways. Use of these integrations is subject to the terms of those providers.

• Third-Party Outages: HaiCLOP Labs shall not be held liable for service interruptions, data corruption, API deprecations, or storage access failures caused by third-party services.
• Limitation of Damages: To the maximum extent permitted by law, HaiCLOP Labs disclaims all liability for indirect, incidental, special, or consequential damages arising from event cancellations, transaction disputes, or technical downtime.

7. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India. Any legal dispute arising under these Terms shall be subject to the exclusive jurisdiction of the competent courts in India.
